Digital securities firm tZERO plans to become a public company through a merger with blank-check company FG Imperii Acquisition Corp., in a transaction that values the business at $350 million. If completed, the combined company is expected to list on NYSE American under the ticker TZRO.
The deal could provide as much as $231 million in SPAC trust cash, although the final amount would depend on shareholder redemptions and transaction expenses. The companies said they expect the merger to close in early 2027, subject to shareholder and regulatory approval.
SPAC route to market
The proposed merger would take tZERO, a company focused on blockchain-based securities infrastructure, to the U.S. public market through FG Imperii Acquisition Corp., or FGII. The blank-check structure gives tZERO a path to listing without pursuing a traditional initial public offering.
Under the announced terms, the merged entity would trade on NYSE American as TZRO. The valuation attached to the deal is $350 million, while the cash available from the SPAC trust is stated at up to $231 million before any impact from redemptions and expenses.
What tZERO does
tZERO has operated in blockchain-based securities markets since 2014. Its business spans several functions tied to digital securities, including trading, brokerage, custody and transfer agent services.
The company has positioned itself as infrastructure for tokenized financial assets, an area that has drawn growing attention as traditional financial institutions test how stocks, bonds and funds could move onto blockchain-based systems.
Ownership and backing
Current tZERO shareholders are expected to keep their equity in the combined company after the merger closes. The companies also said that support agreements have been signed by holders representing about 62% of tZERO's fully diluted capital.
The article also noted tZERO's ties to investors that include Intercontinental Exchange, or ICE, linking the company to a broader group of established market participants as tokenization efforts gain visibility on Wall Street.
Expected timeline
The transaction remains subject to the usual closing conditions, including approval from shareholders and regulators. Based on the companies' current plan, the merger is expected to be completed in early 2027.
Konevsky is expected to continue as chief executive after the deal closes. Until approvals are secured and the redemption process is complete, the amount of cash delivered and the final structure of the public company remain contingent on the merger process moving forward as planned.
