SEC proposes crypto offering rule with $5M and $75M exemptions The SEC has proposed Regulation Crypto Assets, a 402-page framework for crypto asset investment contracts that would create two Securities Act exemptions: up to $5 million over four years for startups and up to $75 million in a rolling 12 months for larger fundraising, with a conditional safe harbor that could let qualifying tokens shed the “investment contract” label once issuer managerial efforts permanently cease.
